Terms of business
These website terms explain the normal basis on which The BEMS Guy Ltd discusses and delivers BMS/BEMS engineering work. A written quotation, purchase order or contract will confirm the terms for each project and takes priority where it says something different.
1. Business details
The BEMS Guy Ltd is registered in England and Wales under company number 17321199. Registered office: 53 Ludlow Close, Warrington, Cheshire, WA1 4LX. The registered office is not a walk-in customer location.
2. Quotations and scope
Website prices are planning guides, not binding offers. A quotation normally confirms the scope, assumptions, deliverables, exclusions, access requirements, programme, travel, price and payment terms. Work starts only after written acceptance, a suitable purchase order or another agreed instruction.
3. Live systems and change control
BMS/BEMS changes can affect plant operation, comfort, energy use and critical areas. Access routes, backups, approval points, working windows, witnessing and rollback arrangements must be agreed before live changes. No live-system change is authorised merely by submitting a website form.
4. Customer responsibilities
The customer is responsible for providing accurate site information, safe access, relevant permits and inductions, authorised system access, known hazards, current drawings where available, and a suitable person to approve changes. Delays or extra work caused by missing or inaccurate information may require a revised programme or price.
5. Prices, VAT and payment
The BEMS Guy Ltd is not currently VAT registered, so VAT is not presently added. Quotations and invoices will show the amount payable and the applicable payment date. Longer or repeat work may be offered at a lower effective day rate where the scope and booking commitment allow.
6. Variations and additional work
Work outside the agreed scope, unexpected site conditions, unavailable access, defective third-party equipment or additional attendance will be discussed before extra cost is incurred wherever reasonably possible. Urgent safety or protection action will only be taken within the authority given.
7. Intellectual property
Pre-existing templates, engineering methods, software tools, libraries, graphic components and general know-how remain the property of The BEMS Guy Ltd or the relevant third-party owner. Rights to project-specific deliverables are those stated in the written quotation or contract. Manufacturer software and licences remain subject to their own terms.
8. Third-party systems and information
Advice and engineering decisions depend on the information, access and evidence available at the time. The BEMS Guy Ltd is independent and does not claim manufacturer endorsement unless confirmed in writing. Savings, performance and programme outcomes are not guaranteed unless a written contract expressly states otherwise.
9. Cancellation and rescheduling
Cancellation or rescheduling terms will be stated in the quotation where relevant. Reasonable costs already committed, including non-refundable travel, licences, materials or reserved specialist time, may remain payable.
10. Liability and governing law
Any project-specific limits and insurance requirements will be agreed in writing. Nothing in these terms excludes liability where the law does not permit exclusion. These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction unless a written contract provides otherwise.
